If you do not agree with these Terms or do not have the legal capacity to enter into a binding agreement, you must not use our Services.

If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Services—or any portion thereof—and to update these Terms at any time without prior notice. Account Registration and Responsibilities

You must be at least 18 years of age to use our Services.
To access certain features, you may need to create an account by providing accurate and complete information. You are responsible for updating this information as necessary.

4.2 Security and Confidentiality

You are solely responsible for maintaining the confidentiality of your account credentials. Any activity under your account is your responsibility.

Account Types

5.1 Customer Accounts

Designed for users who wish to purchase luxury products. Registration is free, and users are required to provide personal and billing information to complete transactions.

5.2 Vendor Accounts

Vendors must complete a registration process and be approved to sell on our platform. Vendors are responsible for providing accurate product information, fulfilling orders, and maintaining compliance with applicable laws.

Use of the Site and Prohibited Activities

You agree to use the Services only for lawful purposes. Prohibited activities include, but are not limited to:

Engaging in fraud, misrepresentation, or any unlawful conduct.
Hacking, data mining, or attempting to disrupt the operation of the Services.
Posting content that infringes on the intellectual property or privacy rights of others.
Any activity that could damage, disable, or impair the Services.

Product Listings and Vendor Responsibilities

Marketplace Nature: Premium-Canada.com acts solely as an intermediary. We do not manufacture, own, or store any products.
Vendor Obligations: Vendors must ensure that product descriptions, images, pricing, and other information are accurate and current. Vendors are solely responsible for order fulfillment, shipping, and handling any product-related issues.
Dispute Resolution: Any issues regarding product quality, defects, or misrepresentation should be resolved directly between the vendor and the customer. We may assist in facilitating communication, but we assume no liability.

Orders, Shipping, and Returns

Finality of Sales: All sales are final unless otherwise stated by the vendor.
Shipping and Handling: Shipping timelines, costs, and policies are determined by individual vendors. Premium-Canada.com is not liable for delays, lost shipments, or damages during transit.
Return & Refund Policy: Returns or refunds will be issued only if:
- The vendor confirms that a product was damaged, defective, or mis-shipped (i.e., not matching the order confirmation).
Claims: Customers must submit claims with supporting evidence (e.g., photographs) to [email protected] within 7 days of delivery. Refund processing, if approved, will take between 14–28 business days.

Intellectual Property and Licensing

Ownership: The content displayed on Premium-Canada.com, excluding user- or vendor-submitted content, is owned by us or our licensors and is protected by copyright, trademark, and other laws.
License to Use: We grant you a non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes. You agree not to copy, modify, distribute, or reverse-engineer any part of the Services without our express consent.
Vendor Content: Vendors retain ownership of their submitted content, but by posting on our platform, they grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content as necessary to operate the Services.

Liability Disclaimer

Intermediary Role: Premium-Canada.com acts solely as a marketplace facilitator. We are not responsible for the accuracy, safety, legality, or quality of products sold by vendors.
No Warranty: The Services are provided “as is” without any warranties, express or implied. We do not guarantee uninterrupted or error-free operation of the Services.
Assumption of Risk: You acknowledge that any reliance on product descriptions or other content is at your own risk.

Indemnification

You agree to defend, indemnify, and hold harmless Premium-Canada.com, its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including legal fees) arising from:

Your breach of these Terms.
Any violation of law or infringement of a third party’s rights by your use of the Services.
Any disputes with vendors or other users.

Limitation of Liability

To the maximum extent permitted by law, Premium-Canada.com shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability for any claims shall not exceed the amount paid by you, if any, for accessing the Services.

Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by the laws of Canada.
Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Services will be resolved through binding arbitration rather than in court. By using our Services, you waive your right to a jury trial and class action.
Arbitration Venue: Unless otherwise agreed, arbitration will be conducted in a designated venue within Canada.

Export Control

You agree to comply with all applicable export laws and regulations. By using the Services, you represent that you are not located in, or a resident of, any country subject to U.S. or Canadian embargoes or other trade restrictions.

Assignment

You may not assign or transfer these Terms or any rights granted herein without our prior written consent. We reserve the right to assign these Terms in our sole discretion.

Notices

Any notices or communications required under these Terms will be sent via email to your registered email address or posted on the website. The date such notice is sent will be deemed the date of receipt.

Confidentiality

Any confidential information disclosed by Premium-Canada.com to you shall be kept confidential and not disclosed to third parties, except as required by law. This obligation remains in effect even after termination of these Terms.

Termination

We reserve the right to terminate or suspend your access to the Services at any time, without notice, for conduct that violates these Terms or is harmful to other users or the operation of the Services. Upon termination, your right to use the Services will immediately cease, and you must promptly delete any downloaded materials in your possession.

Entire Agreement

These Terms constitute the entire agreement between you and Premium-Canada.com regarding the use of the Services, superseding any prior agreements or understandings.
